Terms of Service

1. Acceptance of Terms

By accessing or using PraxisArk (the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you may not use the Platform.

2. Definitions

  • "Platform" means PraxisArk, including all websites, applications, and services.
  • "Expert" means a user who contributes skill demonstrations to the Platform.
  • "Client" means a user who licenses data from the Platform (including AI labs, robotics companies, and AI agents).
  • "Data" means all content uploaded by Experts, including videos, audio, annotations, and metadata.
  • "License" means the limited right to use Data as specified in Section 5.

3. Accounts

  • You must provide accurate information and keep it updated.
  • You are responsible for all activity under your account.
  • You must be at least 18 years old to use the Platform.
  • We reserve the right to suspend or terminate accounts at our discretion.

4. Expert Contributions

4.1 Ownership: Upon upload, Experts grant PraxisArk full ownership of all Data. PraxisArk becomes the sole owner of the Data, with all rights to use, reproduce, modify, and license it.

4.2 Royalties: Experts shall receive 60% of licensing fees generated from their Data, paid monthly. PraxisArk reserves the right to adjust this percentage with 30 days' notice.

4.3 Representations: Experts represent that:

  • They own all rights to the Data or have obtained all necessary permissions.
  • The Data does not infringe any third-party rights.
  • The Data does not contain confidential or proprietary information of others.

4.4 Quality: Experts agree to follow Platform guidelines for capture quality. PraxisArk may reject or remove substandard Data.

5. Client Licenses

5.1 License Grant: PraxisArk grants Clients a non-exclusive, non-transferable, limited license to use Data solely for internal AI training purposes.

5.2 Prohibited Uses: Clients may NOT:

  • Resell, redistribute, or sublicense the Data.
  • Use the Data to create competing datasets or platforms.
  • Use the Data for any commercial purpose other than AI training.
  • Reverse engineer or extract individual images/videos from datasets.
  • Use Data in ways that violate applicable laws or regulations.

5.3 Term: Licenses are perpetual for the specific dataset purchased, subject to these Terms.

5.4 No Ownership: Clients acknowledge that PraxisArk retains all ownership rights in the Data.

6. Fees and Payments

  • All fees are as specified on the Platform and non-refundable except as required by law.
  • Experts must provide valid payment information to receive royalties.
  • PraxisArk may deduct applicable taxes and fees as required.

7. Platform Rights

7.1 Ownership: PraxisArk owns all rights to the Platform, including software, branding, and aggregated metadata.

7.2 Usage Data: We may collect and use anonymized data about Platform usage to improve our services.

7.3 Modifications: We may modify or discontinue features at any time without liability.

8. Acceptable Use

You agree NOT to:

  • Use the Platform for any illegal purpose.
  • Upload malicious code or interfere with Platform operations.
  • Attempt to bypass security measures or access unauthorized data.
  • Impersonate others or provide false information.
  • Violate the rights of others, including privacy and intellectual property rights.

9. Termination

  • Either party may terminate accounts with 30 days' notice.
  • We may terminate immediately for violations of these Terms.
  • Upon termination:
    • Experts may request removal of their Data, but Data already licensed to Clients will remain subject to those licenses.
    • Clients retain rights to Data already licensed.

10. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT GUARANTEE THAT DATA WILL MEET YOUR REQUIREMENTS OR BE ERROR-FREE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRAXISARK SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS YOU PAID US IN THE 12 MONTHS PRIOR TO THE CLAIM.

12. Indemnification

You agree to indemnify PraxisArk from claims arising out of your use of the Platform or violation of these Terms.

13. Governing Law

These Terms shall be governed by the laws of Delaware, without regard to conflict of laws principles.

14. Changes to Terms

We may update these Terms with 30 days' notice. Continued use constitutes acceptance.
